2. Client Responsibilities

2.1 Clients are responsible for providing accurate and complete information necessary for the provision of our Services, including employee information, tax details, and payment instructions.

2.2 Clients must promptly update any changes to the information provided to ensure the accuracy of payroll processing.

2.3 Clients are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.

3. Fees and Payment

3.1 Clients agree to pay the fees specified in their service agreement. Fees are subject to change with prior notice.

3.2 Payment for Services is due upon receipt of the invoice, unless otherwise agreed in writing.

3.3 The Company reserves the right to suspend or terminate Services if payment is not received on time.

4. Termination

4.1 Either party may terminate the service agreement with written notice as specified in the agreement.

4.2 Upon termination, the Company will cease providing Services, and any outstanding fees will become immediately due and payable.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of all proprietary and confidential information received from the other party.

5.2 Confidential information does not include information that is publicly available, already known by the receiving party, or required to be disclosed by law.

6. Limitation of Liability

6.1 The Company will use reasonable efforts to provide accurate and timely Services, but does not warrant that the Services will be error-free or uninterrupted.

6.2 The Company’s liability for any claims arising out of the provision of Services is limited to the amount paid by the Client for the Services in the preceding 12 months.

6.3 In no event shall the Company be liable for any indirect, incidental, consequential, or punitive damages.

7. Indemnification

Clients agree to indemnify, defend, and hold harmless the Company from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with the Client’s use of the Services, violation of these Terms, or infringement of any third-party rights.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

9. Dispute Resolution
